1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of elysiantrust.org and everything on it (the “Site”). The Site is operated by Elysian X Incorporated, a Texas corporation doing business as Elysian Trust (“Elysian Trust,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. What this site is, and what it is not

The Site is an informational presence for our funding-services practice, together with tools such as readiness assessments, a white paper, an invitation-only specialist intake, and contact and booking forms. It exists to inform you about what we do and to let you get in touch.

Using the Site does not, by itself, create a consulting, advisory, contractor, employment, agency, or fiduciary relationship between you and Elysian Trust. That holds whether you submit a form, complete an assessment, download the white paper, or book a call. Any engagement with us begins only under a separate written agreement signed by both parties. That agreement, not these Terms, governs the engagement itself.

3. Not professional advice

Content on the Site is general information, provided for educational purposes. That includes anything about grants, government contracting, certifications such as the 8(a) program, funding strategy, or regulatory matters. Laws, regulations, and program rules change, sometimes quickly, and the Site may not reflect the most current developments. Nothing on the Site is legal, financial, tax, or other professional advice, and none of it substitutes for advice from a qualified professional about your specific situation. We make no guarantee of any funding outcome, eligibility determination, award, or result.

4. Acceptable use

You agree to use the Site lawfully and in good faith. You will not:

  • attempt to gain unauthorized access to the Site, its systems, or its data, or probe, scan, or test its vulnerabilities;
  • interfere with or disrupt the Site, its security features, or its normal operation;
  • scrape, harvest, or bulk-download content except as expressly permitted, or use automated means to submit forms or overload our systems;
  • submit information that is false, misleading, or not yours to share;
  • upload malware or anything harmful, or content you do not have the right to provide;
  • use the Site to infringe anyone's rights, to violate any law, or to send spam or unsolicited communications.

We may suspend, restrict, or terminate access if you misuse the Site or violate these Terms.

5. Your submissions and uploads

When you submit information or upload files, such as a résumé or work sample, you confirm that it is accurate to the best of your knowledge and that you have the right to share it. You keep ownership of what you submit. You grant us permission to use it for the purpose it was provided, whether that is evaluating an assessment or considering you for our specialist network, consistent with our Privacy Policy and any permissions you set. Please do not upload anything you are not authorized to share or that infringes someone else's rights. We are not obligated to respond to, act on, or retain any submission, and we may decline or remove submissions at our discretion.

6. Intellectual property

The Site and its content are owned by Elysian Trust or our licensors and are protected by copyright, trademark, and other laws. That covers the written copy, the white paper, the design, graphics, logos, methodology descriptions, assessments, and code. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your own informational, non-commercial purposes, and you are welcome to share links to our pages. You may not copy, reproduce, republish, sell, distribute, or create derivative works from our content, or present it as your own, without our written permission. “Elysian Trust” and our logo are our marks; please do not use them without permission.

7. Third-party links and services

The Site links to and relies on third-party services, such as Google Calendar for booking, and may link to external websites. We do not control those services or sites, and we are not responsible for their content, practices, or availability. Your use of any third-party service is governed by that party's own terms and privacy policy.

8. Disclaimers

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that the information on it is complete, accurate, or current. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, Elysian Trust and its principals will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100). These limits do not apply to liability that cannot be limited or excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Elysian Trust and its principals from and against any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

11. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Galveston County, Texas, and you consent to the personal jurisdiction of those courts.

12. Changes and general terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will make the update prominent. Your continued use of the Site after an update means you accept the revised Terms.

If any provision of these Terms is found unenforceable, the rest will remain in effect, and the unenforceable part will be trimmed to the smallest change needed to make it work. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding your use of the Site. You may not assign these Terms; we may assign them to a successor to our business.
